By accessing or using our website and services (the "Services"), you (the "User") agree to be bound by these Terms of Service (the "Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

These Terms constitute a legally binding agreement between you and CodexHire (hereinafter referred to as "CodexHire," "we," "us," or "our"). You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

CodexHire provides a platform that connects companies with qualified candidates for software engineering and related technical roles. Our Services include:

  • Candidate Assessments: We offer a suite of assessments designed to evaluate candidates' technical skills, problem-solving abilities, and coding proficiency.
  • Recruitment Tools: We provide tools for companies to source, screen, and manage candidates, including automated outreach, resume parsing, and interview scheduling.
  • Career Resources: We offer career advice articles, tutorials, and other resources to help candidates advance their careers in technology.

We reserve the right to modify or discontinue the Services, or any portion thereof, at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. User Accounts

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • You agree to notify us immediately of any unauthorized access to or use of your account.
  • We reserve the right to suspend or terminate your account if we believe that you have violated these Terms or that your account is being used for fraudulent or illegal activities.

You are solely responsible for all content that you upload, post, or otherwise transmit through the Services. You agree not to upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

4. Assessment Integrity

CodexHire assessments are designed to provide a fair and accurate evaluation of candidates' technical skills. You agree to abide by the following rules and guidelines during assessments:

  • You must not cheat, copy, or use unauthorized assistance during assessments.
  • You must not attempt to bypass any security measures implemented by the Services.
  • You must not share assessment questions or answers with others.
  • You must complete the assessment within the specified time limit.

Any violation of these rules may result in immediate disqualification from the assessment, account termination, and other legal consequences. We reserve the right to monitor your activity during assessments to ensure compliance with these Terms.

5. Intellectual Property

All content, code, questions, software, and other materials available through the Services (the "Materials") are protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Materials solely for your personal, non-commercial use.

  • You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any of the Materials without our prior written consent.
  • You may not reverse engineer, decompile, or disassemble any software or technology used to provide the Services.

6. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

WE MAKE NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY ASSESSMENT RESULTS OR OTHER INFORMATION PROVIDED THROUGH THE SERVICES. WE ARE NOT RESPONSIBLE FOR ANY DECISIONS MADE BY COMPANIES OR CANDIDATES BASED ON INFORMATION OBTAINED THROUGH OUR PLATFORM.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODEXHIRE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESS TO OR USE OF THE SERVICES. THE LIMITATIONS OF THIS SECTION SHALL APPLY EVEN IF ANY REMEDY SPECIFIED IN THESE TERMS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts of Delhi, India, and you consent to the exclusive jurisdiction of such courts.

Informal Resolution: Before initiating any formal legal proceeding, you agree to first contact us directly and attempt to resolve the dispute informally. We will work in good faith to resolve any issues you have with our Services.

9. Changes to These Terms

We may modify these Terms at any time by posting the revised Terms on our website. The revised Terms will be effective immediately upon posting. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.
